Approved the Minutes of the Ordinary General Meeting of the company No.3/2005 on August 10,2005. 2. Approved to pay interim dividends from the operating profit for the six-month period ended June 30,2005 of Baht 0.55 per share, for the total common stock of 200 million shares, in total of Baht 110 million. The company has scheduled to close the registration book at 12.00 a.m. on October 17,2005 for receiving dividends. The dividend will be paid to shareholders on October 28,2005. 3. Approved to change the dividend policy from minimum of 50% of net profit after tax, except if any necessities exist (with additional conditions) to minimum of 70% of net profit after tax, except if any necessities exist (with additional conditions) and will be paid two times per year. 4. Approved the establishment of the new company as the following details; Company : Huafilm Taifilm Co.,Ltd. Business Type : To produce, to be employed to produce and to do business in relation to Motion Picture business. Registered Capital : 500,000 shares at par value ofBaht 10 each, in total of Baht 5.0 million (Fully paid up) Shareholding Structure : Workpoint Entertainment holds 100% of registered capital. 5. Approved the establishment of the new joint-venture company as the following details; Company : Bangfire Studio Co.,Ltd. Business Type : TV programs and all entertainment media Production. Registered Capital : 1,000,000 shares at par value of Baht 10 each, in total of Baht 10.0 million (Fully paid up) Shareholding Structure : Workpoint Entertainment holds 60% of registered capital. Mr.Petchtai Wongkamlao holds 40% of registered capital. 6. Approved the investment in Toh Gloam Television Company Limited as the following details; Company : Toh Gloam Television Co.,Ltd. Business Type : TV programs and all entertainment media Production. Registered Capital : 1,000,000 shares at par value of Baht 10 each, in total of Baht 10.0 million (Fully paid up) Shareholding Structure : Workpoint Entertainment holds 60% of registered capital. Mr.Teerawat Anuwatudom holds 25% of registered capital. Mr.Chayanan Thepwaninkorn, Mr.Virat Hengkongdee and Mr.Surat Sithipornchai holds 15% of registered capital each. 7. Approved to co-invest in a movie production with Sahamongkol Film Group. The total cost of production will be Baht 33.0 million of which Workpoint Enetrtainment will invest Baht 16.5 million or 50% and Sahamongkol Film Group will invest Baht 16.5 million or 50%.
